Corporate Counsel The candidate will have a transactional background and a demonstrated ability to draft and review agreements quickly and efficiently. Will report to the Associate General Counsel who oversees legal support for commercial operations in oncology and women's health. Draft, review, and negotiate agreements for a full range of transactional matters. Areas of focus will include customer agreements and credentialing documents, purchasing, IT, confidentiality, and electronic health record integration. Participate in the review of customer-facing materials for compliance with company policies and applicable laws and regulations. Oversee the administration and implementation of Myriad's contract management process, including managing workflows and supporting internal stakeholders access as well as providing input and guidance in refining and improving the process. Regularly review and update library of contract templates to reflect current legal and regulatory requirements, strategic business initiatives, and market terms. Participate on internal committees as needed to provide advice on contract-related issues. Collaborate with, and assist, members of the Legal team and other internal stakeholders on a broad range of topics and projects. Provide advice to internal stakeholders on contract interpretation, terms, negotiating positions, and risk management.
Qualifications: JD Degree from a top-tier law school and bar admission required. 3+ years of experience in a large law firm and/or in an in-house legal position with some experience drafting and reviewing agreements. Health care, life science, or medical device experience is preferred. Excellent writing and editing skills. Strong business sense coupled with the ability to provide pragmatic legal advice. Transactional document drafting, both conforming templates to novel facts/context and reviewing and revising documents received from other parties. Thorough organizational skills, and resourceful self-starter with excellent problem-solving capabilities, judgment, communication (written and verbal) and interpersonal skills. Commitment to working as a team, both within the legal department and with the company as a whole. Ability to manage a substantial workload with supervision. Commitment to patient safety and privacy.
