Corporate Counsel, Commercial & Product The candidate will include drafting and negotiating vendor contracts and commercial agreements such as NDAs, MSAs, and SOWs. You will provide support on a variety of complex commercial contracts and product matters, including data privacy, contract, & regulatory compliance. You will also assist on employment and litigation issues as they arise. Because has a lean Legal Department and a cutting-edge business that moves at lightning speed, Negotiating, drafting, and providing legal guidance to successfully close a wide variety of vendor and complex commercial agreements such as NDAs, Master Subscription Agreements, and SOWs for a sophisticated SaaS company doing business with Fortune 100 companies. Coaching business and cross-functional teams on contract structure and related legal issues. Provide guidance on global privacy and security laws, ensuring complies with legal, regulatory, and contractual requirements. Draft related agreements such as Terms of Use, Privacy Policies, and similar documents. Assist with employment issues, litigation, and compliance issues as needed. Helping to improve internal processes to enable legal and business functions to scale effectively. Providing effective advice and support on any other legal issues as neededJD from top law school with outstanding academic credentials. Admitted to practice in Illinois, or eligibility for admission as in-house counsel. 3-5 years as a practicing lawyer in a dynamic, forward-thinking in-house legal department or top-tier law firm. Experience reviewing and drafting commercial agreements; technology transactions experience is a plus. Working knowledge of data privacy and/or intellectual property legal issues and genuine desire to expand your skills in both. Exceptional writing skills focusing on clarity, brevity, and minimizing contract legalese. Ability to be proactive and work independently with minimal supervision in a fast-paced, dynamic business environment. Flexibility and team player mindset, ability, and willingness to collaborate with team members. Strong business sense to achieve strategic goals. Superior communication and presentation skills. Outstanding strategic and analytical abilities. Must be outstanding client services skills to support various business units within. You ll be a proactive business partner that helps the company achieve its strategic objectives while getting exposure to a broad range of commercial and product-related issues in a dynamic, rapidly-growing industrial SaaS business. In short, quickly develop and utilize a wide range of skills involved in supporting a technology company.
