Contracts Counsel The candidate will provide legal support for Firms rapidly growing sales team. Will structure, draft and negotiate Master Software License Agreements, Statements of Work and other technology transactions affecting Firms commercial business. Own revenue-related templates and be responsible for all updates. Contribute to the development and roll-out of legal enablement. Keep up to date on the latest developments in the laws, regulations and industry trends applicable to software as a service, hosted services, on-premise software, mobile applications, and product lifecycle management, including data protection laws, consumer protection laws, anti-corruption regulations, anti-trust laws, and other guidance from relevant agencies. Contribute to the transformation of the legal department's journey to becoming a world-class legal function by working on initiatives such as creating accessible and understandable legal documents, implementing contract automation, processes and tools, privacy compliance and other initiatives. Must be able to autonomously negotiate engagements using Firms templates and playbooks, draft agreements from scratch, and juggle multiple matters simultaneously.
The candidate should have 2-5 years of transactional legal experience with an emphasis on technology licensing and SaaS and related professional services, at a law firm and/or in a corporate legal department. Experience in a multinational company or experience in start-ups would be a plus. Foreign language skills would be an advantage (with a particular preference for any of the following languages: Chinese, Spanish, German, Portuguese). Must have some understanding and expertise (or ability to quickly become an expert) in the following: Open Source software and product counsel guidance; General Data Protection Regulation (EU) 2016/679 (GDPR) and other local data protection and privacy frameworks in the context of technology transactions, Intellectual Property. J.D Degree and a State Bar member in good standing are required. Must demonstrate the ability to translate legal requirements into actionable, business-minded advice in accordance with Firms risk tolerance policy. Must have an excellent understanding of software licensing, Internet technology and cloud computing technology, keen analytical abilities and excellent judgment.
