Corporate Securities Counsel Duties: Prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, and Section 16 filings. Review investor relations materials and disclosures in connection with investor conferences. Provide advice and support for general securities matters including Reg FD compliance. Administer Forward's Insider Trading Policy and 10b5-1 plans. Ensure compliance with SEC and Nasdaq rules and regulations. Ensure compliance with terms of credit facility and lines of credit. Work collaboratively with the Chief Legal Officer, Forward's Finance, Accounting, Investor Relations, and Communications teams on external disclosures, such as earnings releases and press releases. Assist with review and preparation of board and committee meeting materials, preparation of agendas for meetings and documentation of meetings. Maintain corporate minute books and records and serve as Assistant Secretary for operating subsidiaries. Support corporate governance programs for subsidiaries including documentation of intercompany agreements. Provide Legal support in responding to privacy- and cybersecurity-related incidents and investigations. Engage with Operational, IT, Compliance, and Legal teams to provide legal guidance and subject matter expertise on privacy, analytics, and data security. Provide counsel on cybersecurity and privacy laws, risk assessment and management, as relevant for various projects as assigned. Assist with various complex and/or sensitive projects, as assigned. Qualifications: JD Degree and active state bar admission required. 4+ years of work experience in a law firm corporate practice, with a focus on securities transactions, general securities compliance and corporate governance. General understanding of financial reporting and financial statements. Ability to work collaboratively and be a good teammate. Knowledge of incident response frameworks and handling procedures, data protection, and privacy and security laws.. Ability to develop strong working relationships with internal clients. Problem-solving, solution-minded approach to collaboration. Self-starter who embraces technology and thrives in a dynamic environment. Excellent communication and problem solving skills.
