Legal Contracts Attorney Duties: Drafting and negotiating commercial contracts. Advice and assist project managers in commercial contract disputes Read, review, modify & negotiate contracts/terms and conditions. Review NDAs, provide feedback as necessary to the team for any risks. Renew expiring master contracts with established customers. Manage third-party contracts, due diligence screenings via online database, and keep the process up to date according to Anti-Corruption Policy, Corporate Guidelines, and the FCPA. Assist the Trade & Compliance Manager in any export-related activities or questions. Stay up to date on export regulations for compliance. Manage government blocklist/sanctions subscription for quarterly screenings liaison to corporate risk management department. Manage insurance certificates and applications or renewals. Assist Supply Chain and Corporate Attorney with annual conflict minerals SEC filing. Assist Supply Chain in increasing efforts in Small Business subcontracting per Federal Contractor requirement. Assist and manage annual corporate ethics and conflicts of interest certification reports. Communicate weekly to the CEO any risks or concerns legally, commercially, or otherwise. Manage the supplier qualification/renewal process. Process legal documents going to the Department of State for authentication or certification from the various embassies in DC. New supplier qualifications, renewals and approvals via online submissions or spreadsheets and questionnaires.
Qualifications: BA in Business Administration. JD Degree is a plus. Paralegal Degree/Certificate from an ABA-approved program. 3- 5 years of experience in Contracts Administration (experience with government contracts preferred). In lieu of CCCM accreditation, working experience and knowledge of the UCC. Experience in the energy industry is a plus.
