Corporate Counsel Duties: Develop a thorough understanding of and familiarity with the company's business, its people, products, markets, facilities, customers, and competitors. Review, draft and negotiate a broad range of commercial contracts. Ensure that contracts are in compliance with legal, regulatory, and company policies. Provide support on corporate development and M&A transactions, including due diligence, structuring and negotiating LOIs, oversee drafting and negotiation of definitive agreements, and supporting integration and post-closing contingencies. Provide corporate governance support to the Company and its subsidiaries, including assisting with corporate filings, consents, resolutions, and other board-related matters. Collaborate effectively with internal business and compliance teams, as well as external advisors and experts. Monitor and improve controls and procedures to identify and manage legal risk and ensure compliance with all applicable laws and regulations. Assist legal department colleagues in executing and enhancing departmental policies and procedures. Holds oneself and others accountable to conduct business in a manner compliant with the company Code of Compliance and Ethics, policies and procedures, and internal controls applicable to their role. Perform other duties and responsibilities as assigned by the General Counsel.
Qualifications: Doctor of Jurisprudence degree (JD) from an American Bar Association accredited law school with superior academic credentials required. Current membership in a state bar is required. 5+ years legal experience in either a law firm or in-house setting, ideally with a combination of law firm and in-house experience in regulated healthcare or life sciences industries (e.g., medical device, pharmaceutical, biotechnology, or other life sciences company). Strong contract drafting and negotiating skills including experience with commercial agreements (e.g., supply, manufacturing, distribution, clinical trial, third-party payers) and significant corporate and transaction documents (e.g., M&A, private equity investment). Knowledge of laws and regulations applicable to medical device and healthcare companies preferred, including experience with federal fraud and abuse laws (i.e., Stark and Anti-Kickback Laws) and Medicare and Medicaid regulations, and state drug pricing regulations. Ability to analyze, interpret and apply government regulations, guidelines and requirements. Exceptional attention to detail and ability to work simultaneously on multiple priorities and ability to respond to shifting priorities. Demonstrated sound decision-making skills and ability to own projects and consistently meet tight timelines and high-quality standards. Excellent interpersonal skills and a commitment to client service, finding solutions, relationship building in a diverse environment, and continuous learning. Ability to handle confidential and non-public proprietary information with sound discretion and judgment.
