Deputy General Counsel - Finance Responsibilities: Manage all MTA finance, securities, due diligence, disclosure, derivatives, and post-issuance compliance related legal matters to protect MTA's interests and to efficiently bring transactions to a successful conclusion. Provide legal advice and counsel to and work closely with the Finance Department in connection with all capital markets and banking activities under unique multi-credit bond structure. Ensure ongoing compliance with all laws, regulations and other requirements applicable to financings, securities issuances, derivatives and related transactions. Manage bond counsel and other outside counsel resources working in these areas. Provide legal advice and counsel to executives and staff on a variety of corporate matters as requested, including tax-advantaged asset leases, public/private partnership transactions and insurance related legal matters. Review, analyze, draft and negotiate a broad variety of disclosure documents, agreements, resolutions, closing documents, tax certifications and other documents. Identify risks and propose alternative structures to mitigate risks involved in potential transactions. Support the General Counsel in the performance of his accountabilities by providing him with legal, business and policy advice.
Qualifications: Education and Experience Law degree from an accredited school. Excellent academic credentials. Admission to the NY bar. 10+ years of relevant legal experience at a large law firm or supporting a large governmental or private sector organization. Significant experience in and thorough knowledge of tax-exempt debt issuance through capital markets and familiarity with state and federal laws governing the public finance market Significant experience as the lead lawyer on sophisticated finance matters. Proficiency in Microsoft Word, Microsoft Excel and computer skills. Excellent negotiating, drafting, and practice-management skills and business judgment. Demonstrated ability to work independently on financial transactions of significant size and complexity, manage multiple projects and clients in a fast-paced environment, and work on a multidisciplinary team Demonstrated initiative and excellent judgement. Confidence dealing with senior management and sophisticated counterparts. Ability to identify creative, business-oriented solutions to legal and business risks. Strong interpersonal, analytical,problem-solving and communication skills. Proven capability to build and maintain strong client, counterpart and regulatory relationships.
