Assistant General Counsel - Corporate Responsibilities: Support the business legal needs including review and negotiate third party contracts, advise on general commercial matters, work with functional and operations teams on a wide array of issues, research and prepare advice on legal issues, and provide advice on compliance, regulatory, and general business matters. Support contracting, procurement, and real estate functions by preparing and reviewing agreements, leases, terms & conditions, and providing advice on matters as needed, including antitrust. Oversee the Company s ethics and compliance process, working with internal stakeholders on internal investigations and reports. Work with IT and marketing groups on various initiatives including SAAS and service contracting. Review and advise on formal disclosure (SEC filings), including: periodic and current reports, proxy statements, annual reports, and Section 16 reports. Oversee the filings of company reports and notifications and certification with third parties including regulators, exchanges and lenders.. Provide legal support on debt, equity, and reinsurance offerings as necessary. Work collaboratively with other attorneys in the legal department and management to help solve complex problems. Assist with the continued development of processes and procedures to support the Company s maturing operations. Prepare budgets, review invoices and manage outside counsel relationships. Support and work collaboratively with the finance, investor relations and accounting departments on public company, legal and compliance matters as they arise. Maintain professional and technical knowledge by attending educational conferences and seminars; review professional publications; establish personal networks; benchmark state-of-the-art practices. Support and advise Company s Disclosure Committee on disclosure-related and other matters, including preparation and review of meeting materials. Ensure compliance with the Company s governance documents (Certificate of Incorporation, By-Laws, Corporate Governance Guidelines, Committee charters), state corporate law and New York Stock Exchange governance-related listing standards. Oversee subsidiary governance and administration. Assist in other areas of corporate law as needed.

Requirements: 5-10 years of legal expertise in supporting all commercial areas including operations, sales, and procurement. Experience overseeing ethics and compliance matters including internal investigations and reporting. Significant experience in all aspects of M&A transactions from letter of intent through due diligence, deal negotiation and closure, and integration planning and implementation. General knowledge and experience advising public companies on public disclosure and the governance aspects of the Sarbanes-Oxley Act and Dodd-Frank Act, related SEC rules, and the NYSE corporate governance listing standards. Strong legal research skills. Excellent written and oral communication skills. Highly organized, detail-oriented and able to manage and think analytically about projects. Customer-focused and service-oriented. Proactive and able to function effectively in environment of rapidly changing demands. Sound judgment and decision-making capability. Capable of performing responsibilities within specified deadlines and handling multiple priorities. Demonstrated ability to work independently with minimal supervision. A background in construction services businesses is a plus.
