Corporate Counsel The candidate will manage tasks and provide advice on integration of newly-acquired firms, including pre-closing due diligence as well as post-acquisition integration due diligence and risk management reviews. Liaise with various insurance brokers regarding coverage requirements and compliance. Possess strong client-relations, interpersonal, written and oral communication and analytical skills and be able to communicate clearly, concisely, and professionally with all levels of management regarding legal issues. Ability to draft, review, evaluate, and negotiate various business agreements and effectively manage contract administration policies, systems, and procedures. Ability to remain calm under pressure, handle a rapidly changing and fast-paced environment, juggle multiple priorities, and work collaboratively with various stakeholders. Must have J.D. Degree from an ABA-Accredited law school and strong academic credentials. Should have 5-7 years experience in M&A work and/or contract review, drafting, and negotiations; preferably within the Engineering industry. New Jersey Bar Admission - additional states a plus. In-house experience required. Must have in-depth knowledge of federal and state laws pertaining to professional services agreements, licensing agreements, construction contracts, AIA contracts, NDAs, and other business agreements/documents with clients, vendors, and third parties.
