Counsel - Litigation, Compliance & Customer Contracts Responsibilities: Assists with drafting and filing the company's Securities and Exchange Commission (SEC) filings, including the annual and quarterly reports, proxy statements and other related filings. Provides legal support to the Corporate Secretary, including the drafting, preparation and review of Board of Director meeting materials. Collaborates and provides legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials. Provides support negotiating, drafting, and finalizing procurement contracts and contracts with partners and distributors. Provides diligence support and other transaction support in connection with the company's strategic initiatives. Recognizes risk elements in business transactions, and collaborates with Sales, Operations, Finance, Legal, Tax, and Insurance groups to ensure that agreements meet Company policies and protect the Company's interests. Remains up-to-date on relevant industry, commercial, cybersecurity and privacy laws and regulations to ensure an ongoing ability to provide informed legal advice. Assists with governance and compliance matters. Manages outside counsel efficiently and associated budgets as needed. Handles other Legal projects as assigned.

Requirements: JD degree from an ABA accredited law school with strong academic performance; Active membership in good standing with at least one state Bar; State Bar of Georgia is preferred. 3 years of relevant experience in law firms and/or in-house legal departments. 3 year of experience in structuring, negotiating, and drafting commercial transactions. 3 year of experience with SEC reporting matters preferred. Preferred Skills: Excellent written and oral communication skills. Demonstrated ability to convey detailed, complex information to senior management and Legal team members in a succinct and cogent manner, and to partner with employees of all levels throughout the organization. Highly motivated individual with superior interpersonal skills and a collaborative and collegial attitude. Sound and practical business acumen. Self-starter with demonstrated ability to successfully work independently with little guidance. Exceptional ability to prioritize and manage multiple projects with poise in an entrepreneurial and fast-paced environment.
