Corporate Counsel The candidate will join the Technology and Shared Services team. Will advise procurement and technology teams and prepare and negotiate vendor contracts. Eventually expand into other areas handled by the Technology and Shared Services group of Office of General Counsel, including transactions, governance, and assist on member firm matters. Provide legal and business advice to business leaders, quality risk managers, and stakeholders. Provide legal and business risk advice regarding contractual terms, vendor relations, and compliance matters. Work with business professionals to help identify and mitigate risks and advise on shared services strategies. Review and/or revise procurement contracts and other documents, such as requests for proposals/requests for information, survey and benchmarking agreements, independent contractor and consultant agreements, license agreements, software as service agreements, confidentiality agreements, subscription agreements, sponsorship agreements, meeting and event agreements, and other related agreements. Negotiate contract terms with contractors, licensors, vendors, and others. Provide analysis of legal and business risks, negotiation strategies, vendor relations, and compliance matters. Keep abreast of proposed and existing legislation. Anticipate and guard against legal risks involving the organization. Work with member firms throughout the globe on various contract issues. Lead agreement negotiation sessions with vendor counsel. Perform other job-related duties as assigned.
The candidate should have a J.D. degree from an accredited US law school and be licensed to practice law in the US. Must have 3-6 years of experience at a top law firm or in-house legal department at a technology company (preferably with prior top law firm experience). Corporate law/commercial contracts background is required. Comfort with contract negotiation is essential. Should preferably have knowledge of applicable legal and regulatory requirements relating to contracts, licensing, software as a service, marketing, technology, privacy and security, and have experience partnering with business teams on a variety of projects. Experience in analysis, review, and drafting of complex vendor contracts required. Experience in mergers and acquisitions is a plus. IP background is also a plus.
