Counsel 4 - Distribution Finance Duties: Join a team of attorneys and paralegals supporting the Company's Distribution Finance (DF) lines of business. Provide transactional support for equipment lending and leasing transactions as well as advice and counsel with respect to legal, operational, and regulatory compliance and risk management. Negotiate and draft financing documents and program documents with manufacturers, dealers, and distributors.
Required Qualifications: Active State Bar membership. 8+ years of experience as a practicing attorney; Or 6+ years of experience as a practicing attorney and 2+ years of legal-related experience in one or a combination of the following areas: risk, compliance, contracts, government, regulatory, financial services, or technology. Desired Qualifications: Extensive experience conducting research and providing counsel and guidance regarding complex legal issues. Substantive experience handling equipment lending and leasing, inventory floorplan financing, receivables financing, asset-based loans, or similar financing programs in the U.S. Experience with UCC Articles 2, 2A, and 9. Experience supporting secured lending or asset-based lending. Relevant military experience is considered for veterans and transitioning servicemen and women. Ability to analyze legal and regulatory issues in the area of practice and provide effective advice to clients on complex legal matters. Strong attention to detail and accuracy skills. Excellent verbal, written, and interpersonal communication skills. Ability to effectively organize and prioritize work while handling multiple matters. Ability to work effectively in a complex environment with a high degree of collaboration. Effective in building partnerships, functioning well with project teams, and working for the success of the team.
