Attorney - Commercial Contracts - CCC Duties: Review counterparty NDA and MSA redlines and draft responses following playbook guidance. Draft multiple agreement types based on business needs, ensuring all required information and provisions are included within the agreement. Suggest to legal partners appropriate responses for counterparty's requests that fall outside of the scope of established guidance. Communicate with in-house counsel and other legal department stakeholders to gather required information or to escalate unresolved issues. Communicate with business stakeholders to gather required information and to confirm the agreement's terms align with and favor business needs. Update agreement metadata in the client's CLM tool, verify records are up to date and contain accurate information, and manage requests within the tool. Manage multiple queues to meet established Service Level Agreements (SLAs). Prepare ad hoc reports as requested by business clients or legal partners. Assist client as necessary, including responding to questions about the process, corporate contracting policy and requirements, and contract status. Communicate with the Company's team members via various tools to ensure requests are processed in a timely manner and with the utmost quality. Answer and/or redirect questions from legal and business stakeholders about all services the Company and the client provide, which requires an understanding of multiple different service lines.
Qualifications: Juris Doctor Degree. Ability to effectively use computers and relevant software, including Microsoft Word, Excel, and Outlook. Ability to draft legal documents using knowledge of relevant laws. Excellent writing skills. Ability to understand all applicable laws and be able to provide consultation and advice to others; schedule, organize, plan, and prioritize work and activities as well as monitor processes, materials, and surroundings; quickly process and analyze information and be able to use it to make decisions and solve problems; clearly communicate verbally and in writing to both internal and external persons and maintain effective interpersonal relationships; work effectively with persons of other cultures; work in a team environment and be comfortable with peer review. Proactive in addressing issues and be able to anticipate future exigencies. Flexibility in work schedules, process changes, deadline changes, and other unexpected events.
