General Counsel and Compliance Officer Candidate will, As General Counsel: Serve and participate as a member of the Navigate executive/leadership team. Manage a wide variety of legal matters pertaining to the organization. Provide day-to-day legal leadership and management that mirror the mission and core values of Navigate. Draft, review and negotiate a wide variety of business contracts, including licenses, sub-licenses, master services agreements, material transfer agreements, vendor agreements, non-disclosure agreements, clinical trial related agreements, manufacturing and supply agreements, collaborative research agreements and employee related agreements. Provide legal advice to internal teams on all legal matters, including transaction structure, employment issues, contract interpretation, compliance and enforcement, risk assessment, and legal and regulatory compliance. In coordination with the commercial function, participate in business development strategy, discussions and negotiations. Participate in the definition and development of corporate policies, procedures and programs. Oversee the selection, retention, management and evaluation of all outside counsel. Manage and support all Navigate corporate governance, including Navigate's corporate minute book and drafting Board consents and resolutions. Represent Navigate with clients, investors, and business partners. Oversee the work of the department paralegal/contracts manager and assistant. Manage and collaborate with IP counsel. As Compliance Officer: Establish and implement compliance program based on internal policies and guidelines/implementing procedures (Code of Ethics, SpeakUp process and Anti-Bribery policy) as well as applicable local laws and regulations, including industry code, where applicable. Establish processes and SOPs for relevant compliance policies. Collaborate with the Novartis Oncology (US) Compliance Head in the assessment of compliance coverage, skills and resources and provide him/her with regular updates on the Navigate compliance program, risks and mitigation efforts. Actively involve country/region leadership, as needed, to leverage integrity messages and to maintain high level of awareness (tone from the top). Continually provide advice and guidance to the business on compliance topics and challenges (including on the required approval processes). Together with the relevant members of the local leadership team, foster ethical behavior by ensuring that compliance criteria are included in objectives/incentive process. Advise Navigate leadership team on compliance related topics and compliance aspects of major initiatives. Actively engage in industry associations and other compliance related stakeholder groups. Conduct an annual risk-assessment to monitor the top compliance risk areas for Navigate. Ensure allegations of misconduct are reported in a timely manner to the SpeakUp Office. If possible and as requested, support or conduct investigations of alleged misconduct based on allocation of responsibility by the SpeakUp Office. Support Navigate IRC in proposing and implementing sanctions related to SpeakUp cases for consistency of sanctions throughout the company (BPO resolution process). As a member of Navigate Executive Management Team support the development, implementation, and effectiveness of the Quality Management System (QMS) and strive to maintain and continually improve its effectiveness.
