Senior Counsel - Contracts Duties: Oversee contracting services to a broad base of clients within various Government sectors. Work with senior leadership to develop and pursue contracting strategies that support growth goals. Oversee review of solicitations, proposals and contract actions processed for the company prior to signature or negotiation, and ensure that all factors have been considered, with a focus on risk analysis, and all necessary information has been provided. Create and implement contract policies, procedures, and other business and contractual or compliance matters affecting the business unit. Oversee and monitor negotiation of contractual agreements on terms and conditions that are in the best interest of the company and its client. Supervise contracting team, providing leadership and career development opportunities. Minimum Requirements: Direct and control the activities of one or more functional areas, divisions, product groups or service areas through senior managers who have overall responsibility for the successful operation of those assigned areas. Consistently work with abstract ideas or situations across functional areas of the business. Through assessment of intangible variables, identify and evaluate fundamental issues, providing strategy and direction for major functional areas. Require in-depth knowledge of the functional area, business strategies, and the company's goals. Interact internally and externally with executive level management, requiring negotiation of extremely critical matters. Influence policymaking. Reports to VP level. Review and analyze Requests for Proposal to determine corporate risk. Review and negotiate prime contracts, amendments, change orders, subcontracts, teaming agreements, nondisclosure agreements and vendor agreements. Oversee the review of proposals and contract actions processed for the company prior to signature or negotiation, and ensure all factors have been considered and all necessary information has been gathered. Prepare and conduct executive-level briefings. Represent contracts function at meetings with leadership and staff of supported business units. Ensure compliance with all company processes and procedures for contract approval/execution. Ensure compliance with company policy on acceptable contract terms and conditions including compliance with FAR, DFARS, other regulations, company directives. Review all change notices and amendments to major contracts (including all contracts with development effort) affecting period of performance, funding, cost or changes to technical specifications and ensuring proper risk evaluation and mitigation. Oversee and monitor negotiation of contractual agreements on terms and conditions that are in the best interest of the company and its client. Prepare legal correspondence. Implement contract policies, procedures, and other business and contractual or compliance matters affecting business units.. Manage and direct subcontract completions and close-out process. Other responsibilities as may be assigned by direct manager, General Counsel, Deputy General Counsel and/or Assistant General Counsel. Potentially manage junior attorneys and administrative staff in the near future. Manage, perhaps through subordinate supervisors, the coordination of the activities of a section or department with responsibility for results, including costs, methods and staffing. In some instances this manager may be responsible for a functional area and not have any subordinate employees. Work on issues of diverse scope where analysis of situation or data requires evaluation of a variety of factors, including an understanding of current business trends. Follow processes and operational policies in selecting methods and techniques for obtaining solutions. Act as advisor to subordinate(s) to meet schedules and/or resolve problems. Develop and administer schedules, performance requirements; may have budget responsibilities. Frequently interact with subordinate employees, customers, and/or functional peer group managers, normally involving matters between functional areas, other company divisions or units, or customers and the company. Often must lead a cooperative effort among members of a project team. Receive assignments in the form of objectives and determines how to use resources to meet schedules and goals. Provide guidance to subordinates within the latitude of established company policies. Recommend changes to policies and establishes procedures that affect immediate organizations.
Qualifications: JD Degree, required. Current U.S. State Bar Membership (in good standing). 10+ years of experience in the practice of transactional or corporate law preferred. Exceptional verbal and writing skills. Excellent negotiation skills. Attention to detail. Strong work ethic. Ability to manage high-volume of work in a fast-paced environment. Ability to easily and effectively communicate with senior management. Works well with colleagues/builds positive working relationships. Familiarity with intellectual property principles and IT systems contracts. International government contracting experience, a plus.
