Corporate Counsel - Contracts Duties: Draft, review and negotiate commercial contracts through engagement with internal business stakeholders. Provide sound advice and counsel with respect to structuring transactions and negotiating terms and conditions of commercial engagements. Prepare and update template and form agreements, especially for high volume and/or common transactions. Manage contract compliance including counseling internal clients with respect to contract issues and disputes. Negotiate settlements with vendors. Train internal clients with respect to contracting process/practices including confidentiality agreements and contracts policy. Be a part of a collegial and collaborative legal team. Build and cultivate strong working relationships with internal and business team members. Review and revise, with some oversight, applicable company policies consistent with all applicable laws. Assist in developing training programs pertaining to relevant practice areas. Perform other projects or miscellaneous duties as requested or assigned.
Qualifications: JD Degree and active bar license in good standing in at least one state, and if not licensed in Florida, with Authorized House Counsel certification in Florida. 6+ years of relevant experience including drafting, reviewing, and negotiating complex agreements for a variety of commercial and transactional matters in a fast-paced environment managing multiple projects simultaneously. Excellent analytical skills and attention to detail are a must, as you will be reviewing and managing a broad range of commercial agreements. Strong negotiation and deal-making skills, including the ability to balance the company's goals and the client's needs, as well as the ability to deal with multiple parties with competing interests. A keen understanding of business and commerce, and the ability to diagnose legal problems and present positive, creative solutions and alternatives for internal business stakeholders. Ability to collaboratively work with legal team members and with our business colleagues to solve problems in an effective and pragmatic manner. Can-do attitude, excellent communication and interpersonal skills, ability to work well with others, ability to teach/coach less experienced clients on complex legal issues, and good sense of humor. Self-motivated, flexible, and efficient working style. Strategic thinking and strong business acumen. Ability to focus on the details of an engagement while keeping in mind the big picture goals of the company. Ability to identify and resolve issues independently. Ability to work well under pressure in a fast moving, dynamic company. Bonus: Experience with legal issues arising in retail setting, especially e-commerce retail, merchandising, procurement, and/or supply chain/logistics. Experience as in-house counsel in addition to law firm experience. Experience with contract databases, vendor management systems, and e-billing.
