Assistant General Counsel, Auto Finance Law - Vice President Duties: Managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters. Advising on products and services, including contract negotiation and documentation. Advising on offering and marketing documents and new business initiatives. Managing dispute resolution. Interpreting existing laws, rules and regulations, and advising on changes thereto. Advising on advocacy in connection with contemplated and proposed laws, rules and regulations. Providing legal advice to the Board of Directors, the business and functions. Legal selects, engages and manages outside counsel for the Firm on all matters in which outside counsel is engaged. Provide support for the Auto Customer Experience product, including dealer referral and vehicle shopping and finance initiatives and Finance My Car product, including originations and dealer management initiatives. Serve as a legal subject matter expert on laws and regulations covering digital finance and customer referral offerings. Serve as a legal subject matter expert for Auto Originations Legal on laws and regulations covering direct and indirect auto financing. Examples include ECOA/Reg. B, FCRA/ Reg V, TILA/Reg. Z, UCC/UCCC UDAAP, E-Sign/UETA, and other state laws that impact Auto Direct, Indirect and Lease. Provide legal support for regulatory issues and examinations including matters with the OCC, Federal Reserve, CFPB, and FDIC. Customer Communications, Policies, Procedures. Review and advise the business regarding legal and regulatory requirements applicable to customer communications, policies and procedures. Assist the Retail Auto business on key strategic relationships and counseling on regulatory and product issues. Provide legal advice regarding auto lending operations and related industry laws and regulations. Manage legal participation in various control, compliance, and risk initiatives. Work with the business to implement changes responsive to new federal and state legal and regulatory requirements; Participate in cross-line of business initiatives and work with other legal teams to ensure consistent interpretation and application of laws across Consumer & Community Banking, as appropriate. All other duties as necessary or assigned in connection with legal support to the business. Qualifications: JD or educational equivalent required. Must be in compliance with all relevant licensing requirements, including the requirements of the jurisdiction where the role will be located prior to commencement of employment. Must have 6 years post-admission experience in a law firm or in-house. Financial institution representation is preferred. Expertise in Auto, Secured lending, and/or consumer finance laws is required. Excellent verbal and written communication skills. Strong interpersonal, analytical, problem-solving, time management, and organizational skills. Team player with proven ability to collaborate and communicate effectively with legal and non-legal colleagues at all levels of the organization. The ability to work independently, manage complex projects and multitask successfully in a fast-paced and changing business environment. Willingness to contribute subject matter expertise outside areas of responsibility to assist other legal colleagues in their coverage areas.
