Corporate Legal Counsel

Corporate Legal Counsel Duties: Serves as the spokesperson/contact in legal matters related to outside regulatory agencies, providers, members/clients, and other external contacts. Responsible for all compliance matters (corporate entities and all product lines): State licensure. Regulatory and statutory interpretation and analysis: Ensure complies with federal and state laws and regulations for all products. Interpret new rules and regulations, and the impact on to product managers and financial consultants/planners. Oversee corporate contract/policy development and review and corporate bylaws and other corporate documents. Serves as Chief Compliance Officer as legally required. Provides oversight for litigation, arbitration, or other legal actions. Oversees the negotiation for approval of all contract filings submitted to various regulatory agencies. Develop relationships with key regulators to facilitate approvals. Participates in regulatory examinations as appropriate. Manages outside legal counsel: Third-party lawyers who represent clients/members. Outside counsel when specialization is needed. Works with various affiliate Boards. Record official minutes at Board meetings as required. Serves as a member of the Leadership Team. Serves as a member of Risk Management committee: Responsible for insurance coverage management. Provides legal analysis that assists CEO and senior management in managing legal risks. Reviews and approves vendor contracts as needed. Reviews and approves all background checks. Oversees legal review of plan documents as needed. Provides general legal advice wherever needed. Other duties as assigned.

Qualifications: A Bachelor's degree with a major in business, economics, law or related area is preferred. A law degree is required. Must be admitted to (or willing to be admitted to) the Indiana State Bar. 4+ years of prior experience as a practicing attorney is required. Supervisory experience. 3+ years of prior experience in a corporate environment is preferred. Commitment to abide by the laws and commit to ethical behavior. Strong business skills, with a good understanding of financial services. Excellent interpersonal skills. Strong critical thinking skills. Solid listening skills. Adaptability and attention to detail. Strong communication skills and the ability to articulate information in various forms including speaking and writing. Ability to translate language into simple, readable form. Analytic ability, logical reasoning, and sound judgment. Strong research skills. Knowledge of various corporate legal contracts, documentation, processes, and policies. Understanding of corporate structures and organizational processes. Commitment to diversity, equity and inclusion and support the organization's Christian Anabaptist values.
