Corporate Counsel: Securities & Governance Duties: Assist with public company readiness initiatives. Prepare and manage regulatory filings and other public disclosure documents, as required. Advise on capital markets transactions (debt, equity financing, follow-on equity offerings) as well as other strategic transactions, including M&A opportunities. Provide support to the Chief Legal Officer to advise the Board of Directors and its Committees with respect to corporate governance, and policies. Assist with preparation of Board and Committee meetings and annual stockholder meetings. Lead the Company's legal compliance program with respect to corporate-level policies including Code of Ethics, insider trading, anti-bribery and corruption, sanctions, and export controls compliance. Ensure compliance with SEC and stock market listing rules. Assist the Chief Legal Officer, Principal Accounting Officer and CFO with administration of the Company's equity plans. Serve as the Legal department's business partner to the Company's Finance & Accounting, Investor Relations, and Communications functions. Work closely with our principal accounting officer and internal controls team to ensure proper implementation of internal controls. Assist with corporate governance ESG initiatives. Monitor and analyze regulatory developments and best practices in securities and corporate governance areas and drive training and employee education. Manage the corporate governance of our subsidiaries. Other duties, as assigned.
Qualifications: Holds JD Degree and is admitted to the bar of at least one state in which operates. A capital markets, public company governance, and securities lawyer with 7-10 years of relevant experience. Substantial experience managing securities, corporate governance and corporate finance matters at a large law firm or global public corporation. Mix of law firm (corporate securities focus at top tier firm) and prior in-house legal experience, ideally at a public technology company with similar responsibilities or at a high-growth, late stage-private company. Experience in supervising and coordinating outside legal counsel and other advisors. Additional Desired Requirements: Government experience, particularly at the SEC, could also be a plus. Undergraduate degree in accounting. Corporate & partnership taxation knowledge helpful. Experience guiding a company through the IPO / public listing process. Ability to work during PST business as hours and additional hours as needed. Deep familiarity and experience with SEC, Nasdaq/NYSE rules and filings, FINRA, HSR and other M&A-related rules and regulations. Experience and knowledge in risk management and evaluation.
