IP Transactions Corporate Counsel Duties: Help establish and manage how works cooperatively with external partners, particularly universities and other research institutions. Focus will be on non-dispute related transactional work and relationship-building, with an emphasis on technical collaboration, IP, and legal risk reduction. You will have cross-business visibility (Retail, Content, Devices, and related subsidiaries), and work with business, HR, technical, and legal stakeholders to understand multifaceted goals in these areas, and help us achieve these goals while mitigating risk. Cross-functional efforts include: supporting engagements with external partners, including sponsored university research and other types of academic programing, working closely with the rest of the Legal to creatively manage risk (IP, transactional, employment, reputational) for specific business teams, and assisting HR on IP-related employment issues. Drafting and negotiating agreements, advising business stakeholders on ways to manage legal risks in external partnerships, and improving processes for evaluating external technical contributions such as scientific papers and open sourcing.

Qualifications: JD Degree and membership in good standing in at least one state bar is required. 5+ years experience as a transactional attorney, with a significant portion of that experience in IP and technology. Preferred Qualifications: Experience with partnerships between industry and universities or research institutions. Experience with open source licensing and counseling, IP policy development, and standards. Passion for and understanding of a wide variety of technology areas. A science, computer science, or engineering degree. Demonstrated ability to develop and maintain business processes that are right-sized for the task. Effective oral and written communication skills in communicating business and legal issues to a wide variety of audiences, e.g., developers, engineers, business leaders, and legal professionals, at all levels of the organization. Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines. Sound judgment even in ambiguous situations. Common sense, plays well with others, and a good sense of humor.
