Manager, Associate Counsel (Securities) (1550) The candidate will advise on corporate disclosure matters and compliance with relevant corporate laws, NYSE listing standards, SEC reporting and compliance rules and regulations and related corporate policies. Draft and review Exchange Act disclosures, such as Forms 10-K, 10-Q and 8-K, and provide legal support to the company's Disclosure Committee. Oversee equity plan compensation administration and Section 16 reporting. Prepare proxy statement and the conduct of the annual meeting of shareholders. Advice on corporate governance matters and prepare and review documentation relating to corporate approvals, including board and committee minutes and resolutions. Provide legal support in connection with shareholder relations, including stock issuances, lending and dividends, and assist finance and investor relations with shareholder correspondence, annual reports, earnings and press releases, scripts and investor decks. Provide legal support for corporate finance, M&A, joint venture and other transactions and advise on compliance with indentures and loan documents. Provide practical in-house legal advice and support on a wide range of other securities, finance and corporate matters. The candidate should have a J.D. degree from an ABA-accredited law school, and member in good standing of the Florida Bar or the ability to register as a Florida in-house counsel. Should have 3-5 years of law firm and/or in-house experience concentrating in securities, corporate governance, corporate finance, capital markets and/or M&A. Experience gained at a top law firm or Fortune 500 in-house legal department is preferred. Should have strong drafting skills, be a team player with strong interpersonal and written and oral communication skills, reliable partner to internal clients, solutions-oriented and comfortable interfacing with senior management. Should have excellent analytical and negotiation skills, ability to effectively handle multiple priorities and follow through in an environment requiring high attention to detail.
