Associate Senior Counsel, Real Estate, Business & International Duties: Negotiate, draft and review a wide variety of real estate, construction and facilities agreements including real estate leases, easements, deeds, real estate purchase and sale agreements, rights of way, letters of intent, architectural agreements, construction agreements, facility services agreements, facilities consulting agreements and other similar real estate, construction and facilities agreements. Occasional review of joint venture agreements, management and name licensing agreements, bond documents and other financing instruments. Assist on international compliance and due diligence reviews. Coordinate domestic due diligence activities in connection with real estate and other types of mergers, acquisitions and affiliations. Qualifications: A JD Degree from an accredited law school. Continuing legal education involving legal seminars, review and study of legal periodicals and review of judicial decisions and legislative enactments and pronouncements. Member in good standing of the Maryland Bar. 5+ years of experience at the Bar, 8 years preferable. In-depth knowledge in the areas of real estate, construction, facilities, commercial law, corporate organization and governance. Familiarity with health care law as it relates to real estate. Requires a professional level of knowledge of legal practices and procedures. In-depth knowledge of federal, state, and local statutes and regulations which affect the assigned practice group for a health care provider; understanding of confidentiality laws also is preferred. Highly developed analytical legal skills and drafting skills. Ability to communicate both verbally and in writing in an effective and appropriate manner in a variety of situations, demonstrated interpersonal skills, and ability to effectively advise and interact with internal clients at all levels of the organization. Ability to manage effectively a very high volume of work. Ability to give clear direction and oversight to support staff. Ability to draft documentation of substantial complexity. Ability and willingness to learn new areas of the law.
