Technology/Data Privacy Attorney Responsibilities: Review, draft and negotiate a wide variety of complex and day-to-day contracts and legal documents, including various technology-related agreements (SaaS agreements, master/professional services agreements, statements of work, order forms, license agreements and others); and various commercial agreements (merchandising vendor/supplier contracts, master services agreements, transportation, distribution and logistics agreements, marketing agreements, operations, fleet services, event planning agreements, procurement agreements, confidentiality agreements and others). Provide advice and counsel regarding data privacy/security and IT matters, partnering closely with our IT Department and Chief Information Security Officer when needed. Work to expand data privacy and security best practices into all aspect of company contracts. Provide advice and counsel on contractual matters to all of the company's functional areas including IT, e-commerce, HR, Marketing, Merchandising, Environmental, Finance, Tax, Loss Prevention, and others. Review all print, web and radio advertisements for compliance with applicable laws, rules and regulations as well as internal company requirements; work with outside counsel to develop and maintain approved advertising and promotional disclaimers. Actively engage with internal clients from multiple business units and departments, vendors and other third parties; provide practical, solution-oriented counseling and support in accordance with the company's policies to our business, including risk mitigation and dispute avoidance and resolution counseling. Develop a deep understanding of the various internal business units operations, including fulfillment models, sales practices, marketing methods, strategies, plans, goals and objectives. Apply solid understanding of laws, regulations and legal principles relevant to day-to-day work and remain up-to-date with current legal risks to assess and proactively advise on potential or emerging business risks faced by the company. Develop a strong relationship with in-house paralegals and other legal counsel, internal clients and stakeholders and proactively support and in some cases serve as the primary legal lead for assigned strategic initiatives. Proactively manage and assist outside counsel on various matters and oversee administration of contracts management system. Take ownership of our in-house contracting function, with the goal of maintaining, and in some cases implementing, best practices and procedures. Supervise in-house Contracts Paralegal. Keep informed of industry-specific trends and regulations and ensure that appropriate risk management strategies are in place including updating contract terms. Develop and maintain best practices regarding the company's contracts and business transactions. Communicate and train on contract templates, required/preferred language and provisions, and provide guidance to business stakeholders early in the contract development process. Assist the company and its subsidiaries in their general corporate affairs. Assist with establishing and continuously improving systems, policies and processes within the Law Department. Assist with corporate compliance initiatives, M&A transactions and other projects, from time to time. Conceptualize and analyze multiple scenarios in solving broadly defined or complex business problems.

Qualifications: Must have a JD Degree and 7-8+ years progressive legal experience gained through a combination of law firm and in-house experience, with 4-5+ years in drafting and negotiating technology and commercial agreements. Must have the ability to operate as an internal resource for our Chief Information Security Officer on data privacy and security issues; demonstrated ability to: Establish successful business relationships and think in practical, solution-oriented and commercial ways; successfully negotiate business agreements and to resolve disputes with business partners. Should have significant experience (3-4+ years) in data privacy and security, including evolving data privacy regulations and application of these requirements to SaaS and other product and service contracts. Strong functional competencies, with a broad base of contracts experience, specifically including expertise in several of the following practice areas: IT/Technology Contracts, Commercial Contacts, Data Security and Privacy, Contract Administration, Government Contacts, Import/Export, Anti-trust, Regulatory. Must have experience handling a variety of legal matters and projects. General understanding of emerging technologies, cloud computing, and SaaS infrastructure.
