Senior Company Counsel - Mortgage Banking The candidate will join a team of attorneys responsible for expertly handling matters that have a significant impact on the company's operations, strategies, or profitability, by developing relationships with and providing guidance to Legal Department senior leadership, executive officers, and senior business leadership across the company on issues that may present legal, regulatory, compliance, or reputational risk to the company. Will provide legal advice and support on internal conduct investigations, complex consumer remediations and complaints, and other regulatory matters impacting the Home Lending business line. Conduct research and analysis on matters pertaining to various aspects of the mortgage business; provide legal advice and strategy recommendations; and create reporting for various audiences, including executive leaders and bank regulators. Apply cross-disciplinary or specialty expertise proactively to manage the most complex legal and regulatory issues. Be recognized as an expert in highly complex areas of the law, having demonstrated the ability to address significant legal matters which may span multiple business lines and practice groups. Collaborate within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of the company. Take an active role in the development of more junior staff. May lead major initiatives.

The candidate must have 10+ years of experience as a practicing attorney OR 8+ years of experience as a practicing attorney and 2+ years of legal-related experience in one or a combination of the following areas: risk, compliance, contracts, government, regulatory, financial services, or technology. Active State Bar membership is required. Significant experience advising clients on business issues and impacts in connection with internal conduct investigations and business risk reviews, including corrective actions and remediation is preferred. Extensive experience conducting research and providing counsel and guidance regarding complex legal issues is an asset. Legal experience practicing in mortgage banking originations is desired. Expert-level knowledge of laws and regulations impacting all aspects of mortgage banking originations, including TILA, HMDA, ECOA, RESPA, UDAAP and SAFE is preferred. Experience interacting with federal financial services regulators and enforcement agencies, particularly with respect to examinations and other supervisory activities, is an asset. Expertise and experience counseling a large and sophisticated business client on legal, regulatory and reputational risks arising from complex matters in a highly regulated field is a plus. Should have demonstrated ability to quickly and effectively analyze complex mortgage banking laws, regulations and the external risk environment, and provide effective solution-based legal advice taking into consideration legal risk and business objectives. Experience counseling business and compliance personnel concerning responsible business conduct is ideal. Ability to analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters is preferred. Strong judgment, and exceptional communication and leadership skills in guiding and influencing management, including senior management, on matters concerning compliance with consumer real estate lending laws and regulations, as well as related risk management desired.
