Counsel- Private Finance The candidate will be expected to perform the following functions: Review, analyze, and negotiate transactions in private placement bond/note, project finance/infrastructure, intermediate capital, and middle-market bank loan transactions, as well as other types of transactions such as securitizations of residential, consumer & commercial asset backed investments, private fund leverage & subscription facilities, real estate debt. Provide day-to-day legal support to Global Private Finance internal business analysts and portfolio managers. Utilize familiarity with the regulatory and operational aspects of representing an SEC registered investment adviser as they apply to a provider of debt financing arrangements and other private credit investment transactions on behalf of third party clients. Select, manage, and oversee external counsel in accordance with the firm's Outside Counsel Management Guidelines. Communicate material legal, compliance and regulatory issues promptly to the firm's relevant stakeholders. Provide support and counsel on special projects.
Qualifications: JD Degree from a highly regarded law school. Licensed to practice law in North Carolina (or another US jurisdiction, with the ability to obtain license in North Carolina). 4+ years relevant experience working at a law firm or financial institution, with experience with private finance transactions. Experience drafting and negotiating private finance investment term sheets, agreements, and related documentation. Knowledge of the Investment Advisers Act of 1940 preferred, but not required. Knowledge and experience drafting and advising on private fund formation and investment (including tax issues) preferred, but not required. Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment. Demonstrated ability to work effectively both independently and as part of a team. Ability and willingness to take ownership and responsibility for tasks. Detail-oriented and flexible with a strong work ethic. Superior organizational skills and the ability to manage heavy work load of diverse matters in a timely manner. High standards of personal integrity and sound business judgment. Diverse problem solving skills in the investment arena. Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels.
