Senior Attorney, Commercial Contracts Responsibilities: Draft and negotiate a wide variety of commercial contracts, including information technology, digital marketing, transportation and logistics, and product development and sourcing agreements, as well as international licensing (franchising), operations and product supply agreements. Review existing business agreements and policies and provide practical guidance on rights and obligations. Lead negotiations that are business critical, complex and/or sensitive in nature. Leverage legal expertise and prior business experience to provide practical business and legal advice to various business partners. Operate through a lens of risk mitigation while supporting business goals and priorities. Act as a key liaison between the supporting business unit and other cross-functional business partners. Engage and efficiently manage outside counsel as needed on non-routine or especially complex matters. Effectively and practically interpret and apply laws, regulations and policies.

Qualifications: JD Degree from an accredited law school. Member of the Ohio bar or a licensed attorney who will obtain Ohio bar membership. 7-10 years of experience with a law firm and/or as in-house counsel in the field of commercial contracts and business transactions. Experience supporting business partners in the procurement, information technology, and international functions. Experience drafting and negotiating commercial contract terms and conditions including deliverables, terms and conditions of sale, fees, indemnification and limitation of liability, data security, confidentiality and termination rights. Experience working with and advising retail clients within an international landscape. Proficiency in Microsoft Office suite including Outlook, Word, PowerPoint and Excel. Desire to work closely with business partners and understand their day-to-day operations and needs. Ability to take direct ownership and responsibility for the review, drafting, negotiation and finalization of a large portfolio of contracts. Strong verbal and written communication skills including presentation and negotiation skills. Team player with strong relationship-building skills across multiple leaders, layers and cross-functional business partners. Strong organizational skills with the ability to manage a large volume of work and meet critical short-term deadlines. Ability to take independent and decisive action while maintaining flexibility to prioritize and handle multiple tasks and work streams. Desire to excel in a fast-paced environment that changes on a day-to-day basis. Self-starter with drive and initiative. Ability to operate in a thorough, detail-oriented and accurate manner. Ability to conduct all work in an ethical, professional and confidential manner.
