Corporate Contracts Specialist Counsel Duties: Manages attorneys, paraprofessionals and staff by assigning tasks and improving contract work flow by leveraging technology, training, guiding and motivating employees. Provides the Company with legal advice that effectively addresses pending legal issues, identifies risk and performs assigned operational duties efficiently. Performs complex research and analysis in numerous areas of law and policy to provide senior management and internal customers with a thorough legal analysis. Advises and consults with senior management and Company staff on the legal ramifications of proposed corporate strategies, resolution of corporate legal issues, and legislative and regulatory developments. Participates in the execution of corporate strategic initiatives by identifying liability and risk and proactively advising on mitigating alternative actions to take. Responsible for the creation and control of the contract administration process and global strategic revisions in the process when needed. Responsible for the preparation, review, execution, and management of a diverse range of complex contractual agreements, including interpreting regulatory compliance with State and Federal Laws, mandated regulations and internal company policies. Serves as a subject matter expert for the Company on contracting and its policies and procedures. Provides contract interpretations to the Company. Manages the enterprise-wide contract management system and leads the legal staff responsible for the day-to-day operations. Responsible for defining and assigning security levels for all users of the contract management system. Negotiates confidential vendor management and vendor dispute issues for the Company. Drafts, revises and enforces the corporate contract policy for the Company. Manages a suite of web domains and web hosting arrangements with external third parties. Performs other duties as assigned by Deputy General Counsel or General Counsel. Qualifications: Doctorate of Jurisprudence (J.D.) and admitted to practice law in the State of Louisiana required. Most have 10 years of experience in the practice of law is required with 1 year of experience in the health insurance industry. Should have experience in the health insurance industry and have proven experience with provider contracts and CMS regulations. Experience can run concurrently. Extensive legal contracting knowledge, extending beyond the insurance legal and regulatory fields, is required. Must have experience in implementing, upgrading, designing, managing and administering contract management software platforms for a large corporation. Must have in-depth knowledge of legal and operational issues common to contracting in the healthcare industry. Must have extensive knowledge of the technology industry and the current legal issues related to it and be familiar with the major technology vendors in the healthcare market. Must have a clear understanding of privacy laws and HIPAA-related data issues for healthcare payors. Excellent communication and writing skills with the capacity to translate and explain legal principles to all levels of non-legal personnel in an easy-to-understand manner are required. The ability to multi task, triage and prioritize workflow and balance multiple competing time critical priorities that arise. The ability to identify, analyze and assess high-risk operational and legal issues within contractual agreements and independently draft mitigating language to minimize risk and protect the best interests of the Company. The ability to extract data, compile, and configure operational reports within the Contract Management Platform for delivery to stakeholders.
