Senior Corporate Counsel, SEC Duties: Develop a process to manage compliance with SEC rules and regulations and the Nasdaq listing rules applicable to public companies, including draft and review periodic reports and other public disclosures to be filed with the SEC such as documentation required for the process of SEC registration, Form 8-K, Form 10-K, Form 10-Q, and Proxy Statement; manage the training, compliance, and filing of Forms 3, 4 and 5 on behalf of Section 16 officers and the Board of Directors; and monitor and manage the Company s compliance with US insider trading laws. Assist the Company Secretary on US corporate governance matters. Provide lead legal support for mergers, acquisitions, divestitures, and joint venture arrangements or other strategic partnerships, and the integration of acquisitions. Provide legal support for capital markets and other strategic financial transactions. Manage outside counsel as appropriate for areas of responsibility.

Qualifications: A J.D. from an accredited law school. Admission and membership in good standing to the bar of at least one state (with subsequent admission to Virginia or admission at Virginia Corporate Counsel as a condition of employment). 8+ years of corporate legal experience, in particular related to SEC matters and M&A, with a significant portion of that experience gained while working for a large public US multinational, either in-house or at a law firm. Impeccable professional ethics and integrity. Agile and resilient mindset. Excellent judgment and the ability to operate in a fast-paced, high-performing small legal department. A track record of successfully working independently as well as collaboratively in a team context. Strong business partnership skills. Preferred: Experience of working in a dual-listed environment.
