Associate General Counsel, Employment Responsibilities: Provide (or manage the provision of) legal counsel, advice and guidance in connection with the company s operations in North America and Europe, as directed, to ensure maximum protection of the company s legal rights, mitigation of legal risks and continued legal compliance. Provide high quality legal advice and counsel in a timely fashion to support HR regarding employment and labor-related matters, which may include employee relations issues, collective bargaining, policy development and compliance. Oversee and manage outside counsel in various dispute proceedings, including federal and state litigation matters and administrative proceedings. Coordinate and actively participate in internal investigations and discovery activities. Maintain a thorough understanding of applicable state and federal workplace laws and regulations, including OSHA, ADA, FMLA, and FLSA. Partner with HR and provide legal guidance on polices, structures, and procedures to ensure best practices and compliance with all applicable federal and state regulatory requirements. Counsel HR on a variety of labor, employment and compliance issues, including hiring, workplace conduct, wage and hour, benefits, performance and discipline, separations, employee relations and M&A transactions and integrations, all while appropriately balancing business needs and risk mitigation. Assist in the development, implementation and maintenance of the company s global compliance program, including policies and procedures in various applicable subject matter areas (for example, ethics and integrity, anti-corruption, global trade, anti-trust/competition, data privacy and employment). Provide operational management of the company s whistleblower/internal reporting system and program, leading or managing internal investigations as required. Support the company s General Counsel and other members of the senior legal department as requested in connection with other legal matters, including review of general commercial contracts and other general corporate matters.

Qualifications: Bachelor's degree and Juris Doctor degree from ABA-accredited law school required, as well as an active Bar membership and good standing in at least one US jurisdiction. 4-7 years of related experience, including legal practice with a law firm, government agency or in-house legal department. Excellent drafting skills with keen attention to detail. Exceptional judgment and range to quickly analyze complex legal and business issues involving a wide variety of products, services and business settings. Excellent verbal/written communications skills. Ability to work independently with limited supervision. Domestic and international travel will be required. Ability to work effectively with and manage outside legal counsel, investigators, and other service providers. Consultative approach with the ability to analyze situations, synthesize, and recommend solutions that add value and mitigate legal risk. Excellent communication and consulting skills with the ability to engage, motivate and influence stakeholders and senior leaders; the ability to interface with all levels of the organization. Good general business sense and strong judgment. High-level capability to multi-task in a dynamic environment. Strong attention to detail, accuracy, and on-time performance, as well as excellent organizational skills. Solution-focused and flexible to adapt to the needs of the business. Proactive approach and collaborative style. Impeccable ethics and integrity. Preferred: Previous experience/expertise in one or more of the following specialty areas is a plus ?ERISA, anti-corruption and anti-bribery, international trade, data privacy or litigation. Previous in-house legal experience is preferred.
