Corporate Counsel Duties: Works closely with other corporate departments, such as finance, accounting, purchasing, engineering, agricultural, manufacturing, safety, environmental, human resources, and risk management, to understand the needs of the business and to provide practical and timely advice. Reviewing, drafting, revising and negotiating contracts related to, among other things, software licensing, marketing, products, customer and supplier agreements; master supply agreements, non-disclosure agreements; joint development agreements; licensing agreements. Advising on commercial transactions including contracts for the sale and purchase of goods and services, logistics contracts, secured financing transactions, licensing of software and other intellectual property, joint venture and acquisition transactions. Counsel business partners on a variety of business law issues and have general knowledge of corporate law. Identifies opportunities for efficiencies and coordinates with outside counsel, vendors and colleagues on process improvements Manage outside counsel but the majority of the work is completed in-house.
Qualifications: Must have a JD degree from an ABA-approved law school and be an active member in good standing of the Bar (Florida or New York preferred). Admission to Bar; Florida or New York preferred. 2-5 years of experience of corporate transactional experience including 1 year in a top-tier law firm. Bilingual is a plus. Experience managing outside counsel. Prefer legal experience in industrial manufacturing and agriculture, commodities industries. Strong computer skills in Microsoft Office suite. Excellent interpersonal skills with ability to work collaboratively in a multicultural setting with fellow members of the legal department and employees in other departments. Excellent written and verbal communication skills and excellent drafting skills. Ability to set priorities and effectively, efficiently and manage multiple time-sensitive projects. Practical and business-minded with an ability to present a business partner with real-world, pragmatic advice. Flexibility and willingness to work on all types of matters. Ability to effectively collaborate with team members and other personnel. Team player and self-starter. Proactive and balance multiple priorities and meet deadlines. Outstanding verbal and written communication skills.
