Corporate Counsel

Corporate Counsel Duties: Analyze and provide legal advice to Company, management and employees related to routine, moderately complex and complex legal matters, matters presenting moderate levels of legal, business or financial risk and commercial contracts. Assist in the development of corporate compliance programs and maintain and administer such programs. Select (subject to manager approval) and manage, including budget management, outside counsel related to legal matters handled. Coordinate with contract administrators for review of all contracts. Delegate legal matters to Associate Corporate Counsel and provide coaching to Associate Corporate Counsel regarding delegated matters. Fulfill such other duties as may be assigned from time to time by the General Counsel, Assistant General Counsel or Managing Counsel. Comply with all corporate and departmental privacy and data security policies and practices, including but not limited to, Hyland's Information Systems Security Policy.

Qualifications: Juris Doctor Degree (or equivalent) and active law license in Ohio or other applicable jurisdiction Or an equivalent combination of education and experience sufficient to successfully perform the principal duties of the job. Should preferably have 5+ years of relevant legal experience, or 3-5 years or 2 years of the relevant legal experience are as an Associate Corporate Counsel for the Company. Excellent communication skills in writing and speech. Excellent skills in MS Office, especially Word and Excel. Strong interpersonal skills. Strong negotiation skills. Strong analytical skills, including the ability to evaluate and develop solutions to complex business problems. Strong proficiency in conducting legal research, gathering and compiling information, drafting commercial contracts and preparing memoranda and other legal communications. Attention to detail, strong administrative skills and ability to work as part of a team.
