Corporate Counsel/Compliance Officer The candidate serves as legal adviser and ensures that the company conducts its business in compliance with applicable laws and regulations. Serves as the legal liaison between company and the parent company General Counsel. Provides accurate legal guidance to the leadership team on matters that affect the company. Oversees the selection, retention, management and evaluation of all outside counsel. Acts as the Compliance Officer and oversees and manages the Compliance Department. Oversees, monitors, and ensures that has an effective compliance program. Ensures that effective and efficient policies and procedures are in place which would provide reasonable assurance to both the Leadership Team and the Board of Directors that is complying with all regulatory requirements. Supervises personnel in the execution of their daily activities providing feedback on and evaluation of their performance on a routine basis. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters, implications, and risk. Manages the compliance, risk management and legal services of the company. Performs other special projects, duties and responsibilities as directed. The candidate should have a Juris Doctorate degree. Admitted to the bar in a U.S. State or Territory and either currently in the State of South Carolina or scheduled to take the bar exam within 12 months of hire. Should have 10 years of legal practice experience. Should have 5+ years of experience working as in-house counsel for a defense/government contractor. Experience working on matters of corporate governance and with a board of directors. Experience working with FAR and DFAR contracts. Experience with Other Transaction Authorities is a plus. Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources. Must be a certified or previously certified compliance professional with the ability to reestablish certification within six months. Experience managing corporate risk and compliance programs as the Corporate Risk/Compliance Officer. Must possess a high degree of both competency and integrity. Detail-oriented, able to work independently in a fast-paced, collaborative environment. Ability to interact with all levels of internal and external customers with the highest level of professionalism in a fast-paced and confidential environment. Demonstrated ability to work independently and proactively in a fluid, fast-paced environment, lead projects, meet multiple concurrent deadlines, and organize time and priorities. Strong orientation towards customer service (internally and externally). Ability to collaborate and work well as a member of a team. High energy and a demonstrated passion for work. Excellent interpersonal and communication (both verbal and written) skills. Demonstrated ability to maintain confidentiality, and exercise discretion and sound judgment. Maintain current knowledge of laws and regulations.
