Contracts Legal Counsel The candidate will review, draft, and negotiate a wide variety of contracts including, SaaS agreements, supplier agreements, professional services agreements, and non-disclosure agreements with companies of all sizes, including Fortune 500 organizations. Determine whether contract requests that vary from the established standards can be accepted or will require additional authorization. Support stakeholder business needs and respond to inquiries regarding contract obligations and revisions. Update and work within contract management system. Assist with developing and improving processes, playbooks, knowledge management and automation across all contract life cycles. Identify contract initiation, review, and execution and maintenance process improvements, obtain Executive Management approval of changes to process and implement improvements, as needed. Manage risk through careful consideration of each client contract's terms and conditions to prevent accepting unnecessary risks. Advise on contract status, legal risks, and the legal liabilities associated with different deals. Research legal issues that could impact the company. Assist in providing training to the company on legal topics. Assist in developing internal legal programs, as assigned. Assist in regulatory affairs and compliance, as necessary. Other tasks as assigned. Work cross-functionally with teams at including, Sales, Customer Success, Finance, Product Development, Human Resources and Operations. Work collaboratively with Compliance Department to ensure adherence to compliance and regulations. Assist in the development of and administration of procedures and practices relating to the implementation of policies. Provide information resource and guidance on assessment and compliance issues to all members of the company. Develop, initiate, maintain, and revise policies and procedures for the general operation of the compliance program and its related activities to prevent illegal, unethical, or improper conduct and as necessary to maintain privacy and security certifications. Monitor, and as necessary, coordinate compliance activities of other departments to remain updated and aware of the status of all compliance activities and to identify trends.

The candidate should have a JD Degree from an accredited US law school required. Licensed to practice law in at least one state required. Should have 2-5 years of experience in a corporate law firm or in-house legal environment, paralegal experience and robust corporate law externship experience will be considered. Legal knowledge and ability to assist counsel in examination, review, evaluation and/or preparation of legal documents relating to the business of the corporation. Excellent oral and written communication skills; ability to conduct legal and factual research. Contract and legal research experience is a must. Have a sound business and legal judgment in ambiguous situations; be a practical and proactive problem solver. Expertise in contract drafting and negotiations, especially SaaS and other technology agreements. Excellent organization and multitasking skills to prioritize multiple competing projects, and follow through and meet quick turnaround times. Ability to understand general business operations and issues beyond the scope of basic legal issues. Clear communicator with excellent written, verbal, and listening skills. Team player with common sense, a good sense of humor and a desire to learn. Basic knowledge of intellectual property and patent documents and activities is desirable. Must have wide-reaching comprehension of compliance and assessment issues and mandates. Excellent interpersonal skills, including mediation, coaching, negotiation, common sense, and good judgment. Proficiency with technology and familiarity with, or willingness to learn, technical elements of multiple business applications. Should have 5 years of contracts management experience or similar experience with a focus on commercial contracts. Extensive experience working with different levels of a company including senior-level management. Experience with automated contract document tools preferred. Experience working with privacy laws and regulations is preferred. Experience in legal operations is highly preferred.
