Corporate Counsel Duties: Take primary responsibility for the negotiation and administration of global commercial and Government (Federal and State and Local) contracts that establish business relationships between MarkLogic and its suppliers, vendors, and contractors, as well as commercial license agreements, partner agreements, professional services agreements, subcontracts, and statements of work with MarkLogic customers. Provide continuing support on executed contracts (e.g. drafting amendments, extensions and terminations, analyzing contractual language in response to questions that may arise, and ensuring compliance with company policies and procedures, regulatory specifications, and other requirements). Prepare and disseminate information regarding contract status, compliance, modifications, etc. Act as the primary contact between Sales, Sales Operations, Consulting and Legal, ensuring that all legal and contractual matters are addressed efficiently and promptly. Oversee and support MarkLogic's compliance with MarkLogic's Government Security Program, as required by the DCSA, and other security clearance obligations. Manage administrative upkeep of Government contract vehicles, such as GSA, SEWP, etc, and associated pricing. Assist in the RFP response process. Manage the distribution of contract drafts, execution drafts, and finalized contracts, including managing contract execution and filing of executed contracts. Assist with other commercial contracting matters, as appropriate.
Qualifications: J.D. from an accredited law school and active law license in at least one jurisdiction required. 7 years experience handling every aspect of global commercial and Government contracts negotiation, with substantial experience in government contracting/procurement management (including FAR/DFAR and experience with GSA) in corporate environments (technology experience preferred). Advanced knowledge and experience working with intellectual property aspects of commercial software licensing to commercial and government customers. Previous experience working at a software/SaaS company is highly preferred. Highly proficient with MS Word, Excel and Adobe Acrobat, as well as electronic contracts/documents management systems. Good business judgment and excellent negotiation skills. Ability to multitask and prioritize under pressure to meet deadlines while ensuring attention to detail and accuracy. Excellent verbal and written communication skills to enable effective coordination with all divisions within the company. Advanced process, detailed oriented and effective time management and organizational skills. Self-motivated with ability to work independently while keeping the Legal team informed of progress and outcome. Desire to expand knowledge of in-house legal function (including, general corporate law, contract law and related areas of law).
