Corporate Counsel (Mid-Senior Level) Duties: Advising on the legal framework of ERM's new Digital Services and Analytics business. Integration of new business acquisitions. Restructuring or rationalization of existing entities. New country entry and country exit. Supporting the Group's Share Scheme - equity offerings and buybacks. Capital restructurings. Corporate compliance and filings and maintaining company records. Assisting with tax and financial compliance and audit processes.
Qualifications: A Law Degree (J.D.) from an accredited institution and a license to practice law in at least one U.S. jurisdiction, together with 8+ years experience practicing as an attorney with a large law firm and/or in a fast-paced corporate legal group for a multi-national enterprise. General corporate and transactional experience operating at a senior level, and be interested in a role that spans not only transactional work but also corporate operational work in the context of a large global group. Exhibit a depth of legal knowledge in the transactional space, including familiarity with specialized areas that arise frequently in transactions (e.g. corporate tax, employee benefits, employment matters, IP ownership, executive compensation, anti-trust, and securities). Used to undertaking due diligence on an acquisition target and drawing sensible conclusions, looking to mitigate risk whilst taking into account operational realities. Very familiar with the acquisition process and the drafting and negotiation of transactional and related contracts, and have played a lead role in managing an acquisition from start to finish. An excellent communicator with proven technical and organizational skills, with the ability to be open and candid whilst demonstrating respect for others and cultivating a culture of inclusion and trust. Accustomed to working under pressure to meet challenging deadlines, and be able to thrive in a fast-paced, complex, and rapidly changing environment. Display excellent business judgment and strategic thinking, with a balanced commitment to the process and continuous improvement and a demonstrated ability to earn the confidence of senior executives as a trusted advisor. The ability to build strong and lasting relationships with internal clients, offer pragmatic and sensible advice and show a genuine commitment to their business needs. The ability to work efficiently with a commitment to good outcomes for ERM and willingness to get involved wherever there is a need. An eye for detail and be meticulous in your work, but be willing to work as part of a team engaging with and supporting colleagues to create well-considered and pragmatic approaches to problems and enhanced team contribution. Keen to apply the skills to bring value to ERM as a global business. Possess the drive to help continue to grow and develop the business. Cross-jurisdictional experience is highly valued, and fluency in any foreign languages, this would also be advantageous.
