Director and Senior Counsel, Contracts and M&A Duties: Provide legal direction and leadership to support the dynamic pace of the Supply Chain organization overseeing the creation, review, negotiation and administration of Supply Chain and Procurement Contracts. Leads legal support for the Supply Procurement agenda in North America. Provides primary legal support in relation to purchasing: Raw materials, Capex- equipment, and construction projects. Glass, cans, closures, labels, packaging, flavors, and other supplies are required to produce and package the products. NAM Market Counsel on Global and NAM Codes, including Partnering with Suppliers Standards and Statement of Authorities, and responsible for embedding Diageo's sustainability agenda in supplier agreements. Identifying risks related to supply chain operations and mitigate them effectively. Manage and resolve disputes with suppliers. In coordination with key stakeholders, provides legal support to New Businesses and Innovation, and Integration of acquired brands into the NAM Supply Chain. Oversee and manage the legal aspects of US real estate transactions, including acquisitions and leases, and engagement of vendors at our sites and offices. Liaise with (i) IP legal team on innovation projects; (ii) litigation counsel on supplier disputes; (iii) integration finance team on brand acquisitions; and (iv) is the go-to person for the Supply Procurement team and the Commercial Real Estate team. Serve as a key leader overseeing Supply Chain and Procurement Contracts: Draft, review and negotiate a broad range of standard and ad hoc contracts across supply chain and procurement. Lead resolution of contract disputes and contract issues. Assist with the handling of other agreements, such as distribution, leasing, rental, and others. Identifying and analyzing legal issues, helping determine business terms and structure transactions, and providing advice to colleagues that balance business objectives and legal risk. Supporting acquisitions including contractual due diligence, negotiation, re-assignment of existing contracts. Manage and execute real estate transactions and construction of supply sites and demand offices, including on-going responsibility for vendor procurement agreements: Engaging and managing outside real estate counsel for land acquisitions, dispositions and leases. Negotiating construction and capital expenditure agreements and acting as a principal legal resource for site development projects. Drafting vendor procurement agreements for operational services required to run and maintain Diageo facilities. Serve as primary, trusted advisor to NAM Supply, including Commercial Real Estate, and Supply Procurement organizations on a wide variety of contract management and agreement issues. Support in market M&A planning and integration teams. Serve as primary counsel to NAM Facilities team on all property acquisitions, dispositions and lease transactions as well operational matters in supply and demand sites. End-to-end contract strategy and management. Dispute resolution. Lead and supervise outside counsel, as required. Support M&A and integration strategies.

Qualifications: A lawyer admitted to practice in the United States of America with 10-15 years of legal experience and extensive commercial and drafting experience (real estate and/or construction. Corporate transactions, including M&A and/or financing, the experience would be an advantage. Previous in-house experience is not essential but the experience of effectively influencing clients and business stakeholders is required in addition to the ability to manage workload independently. Consistent record of running complex legal transactions and dealing effectively with external legal service partners in multiple jurisdictions; experience of complex negotiations, sophisticated drafting, and diverse commercial structures and situations. Excellence in the provision of legal leadership and advice, ensuring that complex legal issues and risks are appropriately communicated and mitigated; proven ability to work in the commercial environment, identify business-critical issues and prioritize workload to align with business needs. Demonstrated analytical, drafting and negotiating skills, good commercial and pragmatic approachability to apply extensive knowledge of the law and understanding of the business, with proven ability to generate respect from both the business and colleagues for judgment, approach and commitment. Excellent interpersonal/communication skills; experience of effective engagement at a director level, always creating a good impression and being approachable. Ability to work and advise independently while understanding how and when to engage other internal and external counsel and stakeholders. Excellent professionalism, commitment and integrity, passion for and experience of inspiring and leading people; confidence in and sensitivity to different cultures and a passion for Diageo's success. Ability to delegate and work with other Diageo teams where appropriate, while maintaining sufficient involvement to manage and influence effectively. Ability to think ahead, anticipate and help contribute to the strategy of the NAM Legal team. Energize and inspire otBuild alignment across the business, including effectively leading and influencing a wide range of people at all levels of the organization (often in relation to complex issues).
