Corporate Counsel The candidate will draft, review and negotiate customer contracts relating to intellectual property legal services (patent annuity payments, trademark renewals, recordal of changes, IP consulting etc.) and our IP management software (SaaS). Draft, review and negotiate vendor agreements (mostly IT, services, and insurance). Advise business teams on contract risks while ensuring business needs are met. Provide legal advice, counsel, and support to key business team members on a broad range of employment matters, including drafting employment-related documents, procedures, and policies, and managing legal disputes. Support Marketing in campaigns and Accounting in bankruptcy matters. Advise business on legal issues related to the expansion of business and launching of new product lines. Manage and advise on all corporate law matters, including operating agreements and the establishment of new legal entities. Conduct ad-hoc research on developing law and novel legal issues, e.g. privacy laws. Manage and confer with outside counsel on all disputes and formal litigation. Develop and lead in-person employee training sessions. Manage, develop, and maintain templates in accordance with global strategy and local law. Contribute to the development and documentation of the department's internal processes. Participate in non-legal, internal committees to advance the business. Act as the go-to person for senior management and business leaders.
The candidate should have a U.S. law degree with above-average results and 2-5 years of experience in a similar position or a corporate law firm required. Legal all-rounder with excellent contract drafting and negotiation skills, and a proven interest in commercial and corporate law, intellectual property, as well as IT and software. Customary computer skills to efficiently work in a paperless legal department. Accustomed to coping with varying demands and tasks at a time. Strong business orientation and commercial sense. Service-oriented towards external customers and colleagues with excellent interdisciplinary and intercultural communication skills. Hands-on mentality and ambition towards achieving objectives.
