Counsel, Corporate & Securities Duties: Actively assist with public company and corporate governance matters, including preparation, organization and delivery of materials (e.g., resolutions, meeting minutes and presentations) for Board and Board Committee meetings and the annual stockholder meeting. Actively oversee international and domestic subsidiary entity governance and maintenance, including:. Director and officer management. Formation and dissolution of entities, changes in entity organization structure, and other changes for the Company's many subsidiaries. Prepare and review minutes, resolutions, powers of attorney and corporate organizational documents, including certificates of incorporation and bylaws. Work with outside counsel and various agencies and authorities with respect to entity filings, governance and maintenance. Assist with securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statements) and securities law administration and compliance (e.g., equity incentive plan matters, securities trading policy administration, transfer agent matters and matters with respect to other securities laws and NASDAQ requirements) as needed. Assist the Compliance department with statutory, regulatory, corporate governance and industry-standard requirements and support functional department requests and transactions. Assist on a variety of corporate legal issues, transactions, projects and initiatives as needed.

Qualifications: JD Degree from a top U.S. law school. Current member in good standing, or registered in-house counsel, with the bar of at least one U.S. state. Public company governance, general corporate matters and subsidiary management experience is required, including familiarity with 33 ? Act and 34 ? Act requirements and filings. 2+ years of relevant experience as a corporate attorney at a national law firm, in-house at a comparable company, or some combination thereof. Experience with public company governance, general corporate and transactional matters, and subsidiary management. Debt financing, capital markets and/or merger & acquisitions experience is a plus. Must have excellent oral and written communication skills and organizational skills. Ability to multitask with great attention to detail and a sense of urgency and ability to meet deadlines within a changing, fast?paced environment. Team player with the ability to work with all levels of the organization, including working closely with the Company's Compliance and Human Resources departments. Ability to foster good business relationships (internally and externally). Must demonstrate good judgment and work ethic. Works independently and takes initiative.
