Corporate Counsel Duties: Draft, review and negotiate customer contracts and third-party agreements Assist General Counsel in determining corporate strategic and tactical legal initiatives Advise management on company legal strategies and their implementation Assist General Counsel in the selection, retention, management and evaluation of outside counsel. Monitor implementation of company data protection and security policy. Advise human resources staff. Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Serve as legal advisor on business transactions, including acquisitions, divestitures and joint ventures as directed by General Counsel. Assist General Counsel in judging the merits of court cases filed against or on behalf of the company, work with General Counsel to define a strategic defense and assist in approval of settlements. Monitor company compliance with applicable laws and regulations. Advise on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities.
Requirements: Law degree from ABA Accredited Law School. Admitted to the bar of any state. 3+ years experience in a law firm environment. Experience working on matters of corporate governance. Experience with health care law and regulation. Familiarity with Sarbanes-Oxley, related legislation and related FASB revenue recognition guidelines. Experience in directing litigation strategy. Broad experience with intellectual property law, including licensing of IP rights and IP due diligence. Exposure to or familiarity with the following areas of law: securities, antitrust, software law and privacy. Experience in negotiating complex agreements.
