Associate Legal Counsel, Contracts Responsibilities: Review, draft and negotiate a variety of commercial agreements including confidentiality agreements, consulting agreements, marketing partner agreements and insertion orders, service agreements, and SAAS Agreements. Provide support regarding a broad range of third-party vendor and customer contracts. Help to implement and manage contract management/legal matter management systems. Assist with due diligence projects for transactional/M&A events. Draft and maintain knowledge resources, develop marketing best practices, and conduct related compliance trainings. Qualifications: J.D. and Admission to at least one State Bar, preferably Texas or New York. 5+ years of relevant work experience. Experience with laws and rules governing technology including disclosure and consent requirements for subscription and automatic renewal programs. Experience in advertising and marketing law is a plus. Experience reviewing, drafting, and negotiating a broad range of contracts. M&A experience is preferred. Significant project management experience. Working knowledge of Microsoft Word, PowerPoint, Adobe Acrobat, Outlook, and Excel. Ability to work with a variety of business stakeholders across legal, finance, sales, and client services. Strong attention to detail and organizational skills. Strong written and verbal communication skills. Self-motivated with the ability to work independently and prioritize multiple tasks in a fast-paced environment and under time constraints and deadlines. High level of discretion, integrity, and confidentiality. Team player with strong interpersonal and collaboration skills. Eager to grow and learn within areas listed in this job description.
