Associate Director, Corporate Counsel - Strategic Transactions & Contracting Duties: Assists Director Strategic Transactions & Contracting in developing and maintaining a strategic and comprehensive legal contracting center of excellence, including appropriate policies and procedures, to enable consistent, effective contracting practices; minimize contracting risk and ensure best practices to enhance contract review processes. Ensures contracting templates, forms, policies, standards, and procedures are up-to-date and compliant with laws applicable to the organization. Develops contract and strategic transactions training materials and other communications to increase stakeholder understanding of company policies, practices, procedures and legal obligations. Assists with, delivery of training and orientation to all relevant stakeholders. Conducts ongoing training and awareness activities. Assists lead attorneys with US strategic transactions and tactical legal advice associated with complex business transactions including, as well as drafting, negotiating and reviewing merger agreements, asset purchase agreements, stock purchases agreements, transition service agreements, shareholder agreements, limited partnership agreements, loan agreements/notes and other transactional documents. Assists with drafting, negotiating and reviewing full range of day-to-day documents, including purchase and supply agreements, service agreements, uniform terms and conditions, material transfer agreements, manufacturing agreements and term sheets. Works closely with Sourcing, Finance/M&A, US and Global Legal colleagues and other individuals with contracting and strategic transactions responsibilities in the company. Prepares, usually independently, legal documents, including letters, notices, legal opinions, contracts, patent or trademark applications, court/administrative filings, etc. Expert understanding of state and federal laws, regulations and policies in at least one specialized legal area; strong working knowledge of laws, regulations and policies in a second specialized legal area; ability to interpret and apply such laws, regulations and policies to inform business activities.. Influences clients by identifying and communicating to clients risks associated with complex business activities within lawyer's specialized legal area; helps identify risks in outside lawyer's specialized legal area; provides training and business advice to clients on applicable legal issues within lawyer's expertise.. Partners with clients by looking beyond immediate business issues and identifying broader business purposes; proactively applies legal framework to both the specific business activity and the broader business purposes; developing alternative legal solutions to enable the achievement of successful outcomes. Usually takes the lead in negotiating on behalf of client to achieve solutions consistent with business objectives. Confers with other in-house and outside counsel where appropriate. Manages (either directly or indirectly) administrative assistants and other personnel within department. Mentors and/or trains paralegals, administrative assistants and/or other personnel within department. Is a member of multi-functional teams. Keeps current with evolving legal and business issues within lawyer's expertise and client's business environment.

Requirements: JD Degree from an accredited law school. 2+ years of relevant legal experience. Admission to at least one State bar. Excellent oral and written communication skills. Excellent organizational skills. Demonstrates discretion and ability to maintain confidentiality of information. Understanding of federal and state laws, regulations and policies in specialized legal area. Ability to interpret and apply such laws, regulations and policies to inform business activities. Requires only moderate supervision. Integrity and ethics, adaptability, innovation/creativity. Analytical thinking, negotiation skills, and decision making skills. Teamwork and Customer Focus.
