Deputy General Counsel, Corporate & Securities Responsibilities: Building and establishing the company's legal SEC reporting and compliance function Preparing and reviewing SEC filings, including registration statements, Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 reporting, including Forms 3, 4, and 5. Developing and maintaining policies and procedures to ensure compliance with securities-related regulatory requirements applicable to publicly traded companies, including the Sarbanes-Oxley Act, Dodd-Frank Act and stock exchange listing standards, Regulation FD, and insider trading. Supporting capital markets transactions including public securities offerings and corporate finance transactions. Developing and providing employee training on securities law and related matters, such as communications, Regulation FD, and insider trading. Advising on investor relations matters, including review of earnings announcements, press releases, investor presentations, investor communications, and other materials Assisting in all corporate secretarial function matters, including preparation of materials for board and committee meetings, and leading preparation for annual shareholder meetings Advise on corporate governance, executive compensation, and various other related matters, as well as developing and adopting applicable corporate governance policies and procedures Supporting the company's stock administration and equity compensation programs Supporting the company's M&A activities. Serve as a utility player supporting a wide range of legal matters on an as-needed, time available basis.

Qualifications: Bachelor's degree and JD Degree required from an accredited law school and a current active bar license in at least one state. 7-12 years of relevant experience preferably including both top-tier law firm experience and in-house experience at a public company. Experience supporting the SEC reporting function at a public company; expertise in corporate and U.S. securities laws and filings and corporate governance matters. Sense of humor, positive attitude, flexibility, and willingness to be a consummate team player are critical to your success here. Knowledge of public company accounting, tax, and finance processes, terminology, systems, and issues. Familiarity with equity compensation plans and executive compensation arrangements and stock administration programs.
