Senior Legal Counsel, Privacy & Data Governance Duties: Providing practical, timely, strategic, and high-quality legal advice and counsel on global privacy, data security- and data-governance-related matters across the company with primary individual accountability for Canada and the United States. This includes working closely, collaborating, and coordinating with colleagues in the Legal Department outside of North America, as well as key business stakeholders, to advise on applicable privacy and data protection laws, regulations, and guidelines affecting the Company's business. Advising on best practices and compliance with global privacy and data protection laws, as well as overseeing legal and regulatory aspects of data collection and use, privacy disclosures and transparency, and related issues. Advising on potential liability and other legal aspects related to data privacy and data security incidents and supporting the Company's privacy and cybersecurity incident response programs, including supporting the investigation of potential incidents, identifying applicable legal obligations, and supporting incident response efforts. Providing extensive legal support for the strategic reviewing, drafting, and/or negotiating of privacy and data security terms in contracts with business partners and vendors, including data processing agreements and data transfer agreements. Supporting the development and delivery of privacy training materials and other communications to increase employee understanding of Company privacy policies, data handling practices and procedures, and legal obligations, as well as presentations to the Executive Administration Team and the Board of Directors. Developing a Center of Expertise, providing privacy, data security- and data-governance-related advice, facilitation, and support to Legal colleagues in Canada, the United States, Trinidad, Latin America, Europe, and Australia. Overseeing and providing updates to senior administration and business partners on changes in legal developments affecting the agriculture, mining, chemical manufacturing, and retail industries, especially in the area of data protection, IT security, data governance, and privacy, coordinating and collaborating with others in the Legal function, as may be appropriate. Developing and maintaining a streamlined and consistent approach for the Legal Department in advising the administration and business partners (considering local laws and practices as may be appropriate) on privacy, data security- and data governance matters. Anticipating potential legal issues within the organization with respect to functions and matters supported by Retail, Potash, and Nitrogen & Phosphate business units, as well as enabling functions like IT, developing strategies to take advantage of opportunities and mitigate risks. Retaining, supervising, and instructing outside counsel effectively and efficiently managing legal expenses consistent with the global legal budget. Coordinating closely with Integrity Group and Legal Department colleagues. Collaborating with the Business Units, IT, HR, Operations, and other Corporate Functions to develop strategies for providing legal support globally, including identifying specific legal requirements relative to such teams' activities and advising on opportunities and legal risks with respect to those matters. Working collaboratively with a broad range of people and cultures throughout the organization to develop and maintain excellent working relationships across all Business Units and functional areas to facilitate a business partner-based approach. Taking the lead in conducting and/or overseeing periodic privacy risk assessments and audits. Guiding investigation and tracking of incidents and breaches in compliance with federal, provincial, and state laws. Serving as the organization's central resource regarding the release of information and privacy and data governance-related issues.

Qualifications: Juris Doctor or equivalent. Privacy Certification is preferred. 10-15 years of experience. Experience working in a law firm or in-house legal department of a multinational corporation, preferably publicly traded and North America based. In-depth knowledge of international, federal, provincial, and state laws and regulations regarding privacy and data security (e.g., CCPA/CPRA, GDPR, NIST Cyber Framework). Excellent ability to grasp legal issues quickly, strong analytical problem solving and decision-making skills, exercise sound judgment, and provide practical and constructive legal advice in a time-sensitive exciting, and enthusiastic complex global environment. Thorough organization, facilitation, negotiation, communication, and presentation skills (both oral and written). Ability to communicate legal issues in a clear and understandable manner. Inspires trust and confidence through effective communication and interpersonal skills. A proactive and innovative approach to problem-solving. Excellent work ethic and ability to guide large workload, multi-task, focus on critical priorities, and otherwise effectively meet client needs. Ability to produce high-quality work under deadline pressures. Has a bias for action. Team player, collaborative, and able to develop relationships, both internally and externally, on a global scale. Excellent organization and teamwork skills. Detail-oriented, self-motivated, and able to motivate others. Strong commitment to integrity and trust and demonstrated passion for excellence.
