Corporate Counsel - Commercial & Tech Transactions Duties: Researches, analyzes and advises on technology, software, data & information security legal issues affecting and applicable to the E&A business segment, Chief Digital Officer and Chief Information Officer. Reviews, drafts and negotiates inbound and outbound technology development, software license, SaaS and other cloud-based services, data acquisition, use and distribution, content, and other technology-related agreements. Develops terms and conditions for sales and license agreements with a particular focus on SaaS and other cloud-based applications. Reviews and negotiates technology vendor agreements including data center, co-location, cloud and web service agreements to ensure UL is receiving state-of-the art service at the appropriate levels while minimizing risk. Participates in or leads special projects furthering development and embedding of information security best practices or expanded legal knowledge as a credible and seasoned lawyer. Maintains current knowledge of applicable global, federal and state data protection laws and standards and monitor advancements in information privacy technologies to ensure organizational adaptation and compliance. Develops, refines and implements policies, processes, and technical and organizational controls to support a high-quality information security & data governance strategy for the E&A business division that ensures UL's compliance with applicable information security and data protection laws and regulations around the globe. Manages and coordinates the information security and data governance advice and support of UL Legal with respect to strategic initiatives impacting the E&A business division, and provide expertise and guidance to harmonize local issues. Consult and coordinate with other UL attorneys, as well as external counsel. Collaborates with product development teams to ensure that new introductions or versions of products and services comply with applicable information security and data protection requirements (legal, contractual or otherwise). In collaboration with IT and digital security, conduct periodic and as-needed business audits and risk assessments to assess data privacy and security compliance. Conducts and assists with data breach investigations and responses.

Qualifications: JD Degree from a top-tier law school and Bar admission. 4+ years of legal experience focused on technology transactions and information security, privacy and data protection laws in a fast-paced and innovative global business operations environment. Extensive experience in technology contracts, with a focus on cloud-based services and software licensing agreements, as well as information security agreements required. Extensive, hands-on experience developing and implementing records retention and/or data privacy policies and procedures and/or conducting privacy risk assessments and audits. Knowledge of laws and regulations relating to information security and data protection. International business experience strongly preferred. A mix of top law firm and in-house experience strongly preferred. Experience with IP strongly preferred.
