VP, Corporate Counsel Duties: Provide legal support for all acquisitions, mergers, and other corporate transactions, including legal due diligence, deal negotiations, transaction documentation and post-transaction integration. Advise and collaborate with executive leaders to help structure transactions, identify and mitigate legal issues, and assist in crafting solutions to protect the company's interests. Demonstrates excellent analytical, consulting, drafting and negotiation skills with the ability to make well-reasoned legal and business judgments and clearly explain complex ideas. Work with outside counsel and the internal business team to negotiate and prepare legal documentation need to bring transactions to closure. Spearhead the evaluation of regulatory matters related to transactions and other corporate matters- including evaluation of Medicare, Medicare, STARK, Anti-Trust, Anti-Kickback, HIPAA law and related state and federal laws. Review policies, procedures, and training materials ensuring compliance with healthcare-related regulatory requirements. Provide counsel concerning a broad range of legal, regulatory, and compliance issues. Partner with internal clients to understand business challenges and provide compliance, guidance, counseling, and solutions to address challenges. Keep up to date and advise on the potential impact of new and proposed healthcare laws and regulations to ensure continued compliance. Manage outside counsel in all appropriate subject matters. Perform other special assignments, strategic projects, or duties as needed.

Qualifications: Licensed attorney holding a JD Degree with 5 years of related experience, preferably within a healthcare environment. Transactional healthcare experience handling physician practice acquisitions, physician contracts, joint ventures, and affiliations Regulatory advice regarding Medicare, Medicaid, HIPAA, and Stark and Anti-Kickback matters Must be licensed or eligible to practice as in-house counsel in the State of Arizona. Strong M&A and corporate transactions experience, particularly in the healthcare and orthopedic areas Experience with HIPAA, Stark and AKS rules, regulations and enforcement actions Solid understanding of physician compensation models and employment law Strong contract negotiation and drafting skills Strong health care regulatory background Experience with value-based care arrangements including bundled payments, capitation and other risk-sharing arrangements would be a plus. Excellent verbal and written communication skills with the ability to interact comfortably with all levels of senior management, physicians and healthcare organizations Creative problem-solving skills. Proven track record of bringing complex healthcare transactions to closure Ability to work with diverse stakeholders to gain consensus regarding transactional issues.
