Corporate Counsel Responsibilities: Negotiating Management Agreements and Franchise Agreements with prospective owners and franchisees. Structuring and conducting diligence in connection with, and negotiating a variety of, transactional real estate matters, including acquisitions, dispositions, and financings. Supporting and managing land use aspects of real estate activities, including but not limited to permitting and zoning. Negotiating agreements related to the purchase of land and development of hotels, including without limitation, purchase and sale agreements, joint venture agreements, project management agreements, and general contractor and architect agreements. Asset acquisitions and dispositions. Workouts and restructurings of management agreements, financing agreements and ownership interests with respect to existing hotel properties. Advising on and handling wide-ranging issues relating to property ownership or leases, including drafting easements, agreements such as listing and service agreements, and loan modifications. Reviewing term sheets, purchase and sale agreements, and loan and refinancing documents, and confirming and negotiating customary terms. Formation of hospitality joint ventures in which Hyatt holds an interest. Amendment of management agreements, SNDAs, estoppels and other operative agreements for open and operating hotels. Effectively managing outside counsel on matters, as necessary, to accomplish legal and business objectives. Demonstrate a commitment to Hyatt core values. The position responsibilities outlined above are in no way to be construed as all encompassing. Other duties, responsibilities, and qualifications may be required and/or assigned as necessary.

Qualifications: Must have 6 years of legal experience, with a strong focus on real estate and transactions generally. The candidate must have experience leading transactions, including acquisitions, construction, leasing, financing and secured transactions, and will welcome the challenges of working in a fast-paced environment where maturity, self-direction, time management and reasoned problem-solving are integral to success. Excellent interpersonal skills, communication (oral and written), organization and analytic skills are a must. Transactional real estate experience, including sales and disposition of real property, real estate financing transactions, including senior and mezzanine financing, guaranty transactions, joint venture and other equity investments, and construction and development matters. Experience with various leasing-related issues. Experience negotiating and drafting joint venture deals, management and construction agreements, development agreements and partnerships. Some experience in land use, permits and zoning is also preferred. Any experience or background in the hospitality industry is considered a clear advantage although not required. Sound judgment, critical thinking, and solid negotiation skills. An ability to engage individuals and teams to ensure timely project completion. The ability to work under pressure, meet tight deadlines, and balance a heavy workload. An ability to analyze, interpret, and present complex legal ideas and concepts in a clear and concise fashion. A J.D. from an accredited law school and admittance in good standing with at least one state bar. Strong academic credentials.
