Counsel, Real Estate and M&A Responsibilities: Abide by and demonstrate the Company s Mission, Vision, and Values through both behavior and job performance on a day-to-day basis. Draft/review, negotiate and interpret real estate documents for various real estate transactions, including leases, acquisitions, and divestitures of real property. Provide legal support for all phases, including due diligence, of mergers, acquisitions, divestitures, joint ventures, and strategic investments worldwide. Assist in corporate governance, public-company reporting and compliance, and corporate finance efforts. Draft policies, best practices, guidelines, tools, and programs that align with and advance the Company s strategy, values, and business goals Develop and maintain strong working relationships with business partners, corporate function colleagues, and department members. Requirements: Licensed in Illinois with 2+ years of real estate, corporate, and M&A experience, preferably with a large, global company or top-tier law firm. Significant experience in real estate and M&A transactions. Familiarity with antitrust and merger-control filings. Keen business and financial acumen. Outstanding advocacy, negotiation, presentation, oral and written communication, and interpersonal skills. Demonstrated ability to build relationships and positively influence outcomes. Highly motivated, proactive, self-disciplined, and team-oriented. Ability to work independently with general supervision and direction from the Associate General Counsel in furtherance of department goals and strategic plan. Ability to work under pressure in a fast-paced and dynamic environment while handling multiple competing tasks simultaneously to closure. Commitment to ADM values: integrity, respect, excellence, resourcefulness, teamwork, and responsibility. Willingness and ability to work closely with business team and other ADM lawyers to develop solutions to legal issues that are both in keeping with ADM policies and values, and relevant laws and regulations, and serve to advance business needs. Ability to build and maintain positive relationships with all levels of the ADM business team and other members of the ADM Legal and Procurement teams.
