Corporate Counsel Duties: Under supervision of an Assistant General Counsel the Corporate Counsel is responsible for providing legal advice to management with regard to various areas of assigned specialization. The Corporate Counsel has clear authority in the specialized area to act for the company. The Corporate Counsel develops and maintains internal relationships and provides coordination with outside counsel when necessary. The Corporate Counsel shall consult with Assistant General Counsel when issues are significant with regard to impact on the company. Provides advice to management on legal issues relating to contracts, corporate governance, insurance regulatory law, and general commercial or contractual negotiations and other legal matters. Handles legal inquiries from within the company. Responds with legal opinion as appropriate. Reviews and negotiates contracts, leases and other agreements. Provides advice and guidance on issues of corporate governance including enabling legislation, charters, Board Operations and related issues, as requested. Serves on various internal committees as both participant and counsel. Qualifications: Must have 1 year experience in the practice of law in a corporate legal department or a full service law firm with an emphasis in corporate transaction, corporate governance, and/or insurance regulatory law. Requires Juris Doctor from accredited law school. Active NJ Bar Admission or eligibility to obtain limited license for in-house counsel required. Excellent Analytical Skills.
