Mid-Level Securities (SEC) Attorney The candidate will advise on securities law and perform securities work which includes drafting and advising on proxy statements, annual reports, periodic reports, Section 16 reporting, disclosure advice, and public company governance and compliance matters. Support timely satisfaction of SEC and Nasdaq compliance and reporting obligations. Stay up-to-date and keep executives advised on external governance trends, SEC issues, general legal issues and best practices. Work actively with internal clients in Human Resources, Tax, Finance and Stock Administrator, as well as senior executive team members, as well as third parties/vendors for the seamless execution of multiple projects. Develop a detailed project plan to monitor and track progress, including spreadsheets, diagrams and process maps to document needs, and maintain comprehensive project documentation. Manage changes to the project scope, project schedule, and project costs using appropriate verification techniques.
The candidate should have 4+ years of corporate and securities experience, including substantive law firm experience representing public companies. A J.D. from an accredited law school. An active member in good standing of the NY State Bar with the highest of ethical standards. Prior in-house corporate and securities law experience with an international public company, including. Proven working experience in project management. Ability to assess both legal risks and business impact of decisions. Prior experience with an SEC filing experience like Workiva is nice to have. Working knowledge of ESG issues is nice to have.
