Director or Associate Director & Senior Counsel - Intellectual Property Duties: Provide legal services to various internal clients. Level of counseling provided requires an in-depth knowledge of the business and expertise in intellectual property law. Drafting of legal documents and provision of legal counsel. Contribute to the discovery, development and delivery of products to patients and customers. Prepare, usually independently, legal documents, such as legal opinions, contracts, patent applications, administrative filings, etc. Proactively counsel clients about IP strategy related to internal or external projects, including freedom to operate and patentability evaluations. Negotiate, draft, and review agreements covering intellectual property rights to achieve solutions consistent with business objectives. Agreements include research collaboration and licensing agreements, clinical agreements, master services agreements, clinical trial agreements, MTAs, consulting agreements, vendor agreements, and confidentiality agreements. Keep current with evolving legal and business issues in the area of Intellectual Property law and the business environment. Partner with clients by: looking beyond immediate business issue and identifying broader business purposes; proactively applying legal framework to both the specific business activity and the broader business purposes; developing alternative legal solutions to enable the achievement of successful outcomes. Confer with other in-house and outside counsel, across the United States and globally, where appropriate. Manage (either directly or indirectly) administrative assistants and other personnel within department. Mentor and/or trains more junior attorneys, paralegals, administrative assistants and/or other personnel within department and be a member of multi-functional teams.
Requirements: Associate Director: JD degree from an accredited law school; admission to at least one State Bar. 6-8 years relevant legal experience. Registered to practice before the U.S. Patent & Trademark Office. B.S/M.S/Ph.D. or significant work experience in a life science field; immunology, biochemistry, cellular biology preferred. Working knowledge of pharmaceutical chemistry is a plus. A broad range of patent-related legal expertise including patent preparation and prosecution, patent office proceedings, licensing, IP due diligence, and strategic counseling for large molecule biopharmaceuticals, such as antibodies. Excellent oral and written communication skills. Excellent organizational skills; demonstrates discretion and ability to maintain confidentiality of information. Excellent ability to work collaboratively with global colleagues and clients at all levels of the organization.
